1. Agreement to these terms
By engaging Quantal-Is Pty Ltd (ABN 98 703 390 489) ("we", "us", "our") for professional business and consulting services, or by using the website at https://quantalis.online, you agree to these Terms of Service. If you do not agree with any part of these terms, please do not engage our services or use this website.
2. Our services
We provide professional business and consulting services, which may include advisory work, business analysis, strategy development, operational reviews and related support. The specific scope, deliverables, timelines and fees for any engagement will be set out in a written proposal, statement of work or quotation provided to you before work commences. Descriptions of our services on this website are general in nature and do not constitute an offer or a guarantee of any particular outcome.
3. Quotations and engagement
Quotations provided by us are valid for the period stated in the quotation, or 30 days if no period is stated. A quotation is an estimate based on the information available at the time it is prepared. If the scope of work changes, or if information provided to us proves to be inaccurate or incomplete, we may need to revise the quotation. An engagement commences only when you accept our quotation in writing and any required deposit has been received.
4. Fees and payment
Fees are payable in accordance with the quotation or engagement documentation. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. We may charge a deposit or progress payments for larger engagements. Late payments may attract interest or administrative fees as set out in the engagement documentation. All fees are quoted in Australian dollars and are inclusive of GST where applicable, unless stated otherwise.
5. Your responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete and timely information relevant to the engagement;
- Respond to reasonable requests for feedback and approvals within agreed timeframes;
- Ensure you have the right to provide any materials, data or documents you supply to us;
- Comply with all applicable laws in connection with the engagement.
Delays caused by a failure to meet these responsibilities may affect timelines and, where applicable, fees.
6. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable law that cannot be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For services, you are entitled to a remedy if the services are not provided with due care and skill, are not reasonably fit for purpose, or are not provided within a reasonable time.
7. Limitation of liability
To the fullest extent permitted by law, our liability arising out of or in connection with the services is limited, at our option, to the re-supply of the services or the payment of the cost of having the services re-supplied. To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profits, loss of business opportunity or loss of data, arising from the services or your use of this website. This clause does not limit any rights you have under the Australian Consumer Law.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use that information only for the purpose of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Intellectual property
All intellectual property existing prior to an engagement remains the property of the party that owns it. Subject to full payment of fees, you own the final deliverables prepared specifically for you under an engagement. We retain ownership of our pre-existing methodologies, frameworks, templates and know-how, and of any materials we create for our own professional use.
10. Privacy
We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws. By engaging our services, you consent to the collection, use and disclosure of information as described in that policy.
11. Termination
Either party may terminate an engagement by giving written notice in accordance with the engagement documentation. You remain liable for fees for work performed up to the date of termination, and for any costs we have reasonably incurred on your behalf. Clauses relating to confidentiality, intellectual property, liability and governing law survive termination.
12. Third-party content and links

13. General
- These terms, together with any accepted quotation or engagement documentation, form the entire agreement between the parties in relation to the services.

14. Governing law
These terms are governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of the courts of Victoria and the Commonwealth of Australia.
